Preparation or review of agreements and bylaws
of companies and associations (foundations, cooperative
companies, non-governmental organizations, etc);
• Preparation and review of all kinds of
partnership documents, specially: Minutes of Meetings,
Shareholders’ Meetings, Agreements of Shareholders;
• Preparation
of feasibility studies of corporate reorganizations,
specially the cases of merger, spin-offs and takeovers.
Preparation of all company documents required
in the cases of corporate reorganizations, such
as: Minutes of Shareholders’ Meetings, protocol,
Justification, etc.
• Studies
and opinions on the application of free competition
rules. Preparation of documents required by CADE
(the Brazilian Federal Trade Board), and the submission
of defenses against penalties imposed;
• Defenses
against the imposition of penalties applied by
the CVM (the Brazilian Securities and Exchange
Commission), the Central Bank of Brazil, ANATEL,
ANEEL, ANA, SUSEP and any other regulating organization
or governmental agency, at federal, state and
local levels.
• Preparation
or review of business and professional agreements
among companies. Submission of studies and opinions
about contractual matters;
• Preparation
of studies and opinions about accounting issues
related to Corporate matters or to subsidize the
presentation of defenses or appeals to state bodies
and the Judiciary in matters involving accounting
matter.
